Agreement Between User and the Website melissasteinberglaw.com:
Welcome to melissasteinberglaw.com (the "Site"). The Site, which is operated by Melissa L. Steinberg, Esq. ("Ms. Steinberg") and Law Office of Melissa L. Steinberg, PLLC (the "Firm"), is law firm website, and its use is offered to you as an informational service (the "Service") conditioned upon your acceptance, without modification, of the terms, conditions, and notices contained herein (collectively the "Terms"). Your use of the Site constitutes your agreement to all such Terms. Please read these Terms carefully, and keep a copy of them for your reference.
Visiting the Site or sending e-mails, electronic form submissions, text messages, or chat messages, or uploading or downloading any materials to or from the Site, or otherwise causing any direct or indirect document exchange or correspondence between you and the Site, constitute electronic communications with the Site. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications provided by or through the Site electronically satisfy any legal requirement that such communications be in writing.
Use of the Site is a privilege, not a right, and by using the Site you consent to the Site collecting certain limited information about you for the protection of other users of the Site, and agree that you may be denied use of the Site at any time, for any reason, if the Site determines, in the discretion of Ms. Steinberg or any agent or committee of Ms. Steinberg, the Site, or the Firm appointed for such purpose, that your attempt to access any part of the Site is undertaken for any illegal, immoral, or unethical purpose, or for any purpose, the spirit of which runs counter to or is intended solely to undermine, frustrate, or interfere with the mission, goals, and values of the Site and its collective users and/or administrators.
Children Under Thirteen (13):
The Site is intended for informational and law firm marketing purposes, and does not knowingly collect, either online or offline, personal information from persons under the age of thirteen (13). If you are under the age of eighteen (18), you may use the Site only with the permission of a parent or guardian.
Links to Third Party Sites/Third Party Services:
The Site may contain links to other websites (collectively the "Linked Sites"). The Linked Sites are not under the control of the Site, Ms. Steinberg, or the Firm. Neither the Site, Ms. Steinberg, nor the Firm is responsible for the contents of any Linked Site including, without limitation, any link contained in a Linked Site, or any changes or updates to a Linked Site. The Site is providing youaccess to these Linked Sites only as a convenience, and the inclusion of a link to any Linked Site, or content therein, does not imply endorsement by the Site, Ms. Steinberg, or the Firm of such content or Linked Site or any association with its operators.
No Unlawful or Prohibited Use/Intellectual Property:
As a condition of your use of any part of the Site, you warrant that you will not use the Site, or any information, document, image, file, or idea contained therein, or transmitted therefrom or thereto, in any manner which could damage, disable, overburden, or impair the Site, or interfere with any other party's use or enjoyment of the Site. You may not obtain or attempt to obtain any material or information through any means not intentionally made available or provided by or through the Site.
All content (the "Content") disseminated by the Site including, but not limited to, text, graphics, logos, files, documents, postings, communications, images, and any other material, in any format whatsoever, and/or any compilation thereof, and any software used to create and/or maintain the Site, is the property of the Site, Ms. Steinberg, and the Firm, or suppliers, vendors, or licensees thereof, and is protected by all applicable laws protecting copyright, intellectual property, and other proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, and/or other restrictions contained in, or annexed in reference to, any such Content and will not make any changes thereto.
You will not modify, publish, transmit, reverse engineer, and/or participate in any way in the transfer and/or sale of any Site Content, create derivative works from Site Content, or in any other way exploit, in whole or in part, any of the Content found on, transmitted to, or disseminated from the Site. Site Content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected Content, and in particular you will not delete or alter any proprietary rights and/or attribution notices in connection with any Content. You will use protected Content solely for your personal use, and will make no other use of such Content without the express written permission of Melissa L. Steinberg, Esq. or any agent or committee of Ms. Steinberg, the Site, or the Firm appointed for such purpose, and/or the copyright owner. You agree that you do not acquire any ownership rights in any protected Content, Neither the Site, nor Ms. Steinberg, nor the Firm, nor any copyright owner whose protected work is included on, transmitted to, or disseminated from the Site, grants you any license, express or implied, in or to the intellectual property of the Site, Ms. Steinberg, the Firm, or the copyright owner(s), except as expressly authorized by these Terms or applicable law.
The Site is operated and administered by the Ms. Steinberg and the Firm from our offices within the United States. If you access the Site or any of its Content from a location outside the United States, you are responsible for compliance with any and all laws applicable to your locality and any other locality with jurisdiction over your activities with the Site. You also agree that you will not use the Site or any of its Content, or your access thereto, if doing so in any way whatsoever, or if the manner in which you do so, is prohibited by any laws, restrictions, or regulations applicable in the locality in which you access the Site or its Content.
You agree to indemnify, defend, and hold harmless the Site, Ms. Steinberg, and the Firm, as well as their agents, licensees, designees, employees, heirs, and assigns, for any losses, costs, liabilities, judgments, expenses, or other obligation (including reasonable attorney fees and court costs) relating to or arising out of your use of, or inability to use, the Site or its Content; your violation of any of these Terms; your violation of the rights of any other Site user, Site administrator, or third party (whether an individual or an entity); or your violation of any applicable law, restriction, rule, or regulation. It is your responsibility to be familiar with these Terms, as well as any laws, restrictions, rules, or regulations to which you must adhere in accessing or using the Site and its Content. The Site, Ms. Steinberg, and the Firm reserve the right, but not the obligation, to assume, at their own respective costs, the exclusive defense and control of any matter otherwise subject to indemnification by you pursuant to this clause, applicable law, restriction, rule, or regulation, or by any relevant agreement, decree, order, judgment, stipulation, or settlement, whether confidential or otherwise. The Terms related to indemnification herein are deemed incorporated into, and not superseded by, any past, present, or future agreement, decree, order, judgment, stipulation, or settlement, whether confidential or otherwise, whether or not explicitly set forth therein. If the Site, Ms. Steinberg, and/or the Firm, or any agent or committee thereof appointed for such purpose, determines, in its discretion, to exercise its right herein to assume exclusive defense and control of any matter otherwise subject to indemnification by you pursuant to this clause, applicable law, restriction, rule, or regulation, you shall, without limitation, fully cooperate with and participate in any and all processes necessary to assert the rights of and any defenses available to, the Site, Ms. Steinberg, and/or the Firm.
The Content provided by the Site, along with any software, products, processes, services, and information necessary to do so, may include inaccuracies and/or typographical errors. From time to time, the administrators of the Site may make necessary changes to Site Content, in the sole discretion of Ms. Steinberg or any agent or committee of Ms. Steinberg, the Site, or the Firm appointed for such purpose.
Neither the Site, nor Ms. Steinberg, nor the Firm make any representation whatsoever as to the accuracy, reliability, timeliness, or availability of Site Content, or its suitability for the particular purposes of any user in accessing, distributing, or otherwise using such Site Content. To the maximum extent allowable by applicable law, restriction, or regulation, Site Content is provided "as-is," without any warranty, representation, or condition of any kind, and any warranty, representation, or condition that is now or may in the future be claimed with respect to Site Content are specifically disclaimed, including any and all implied warranties including, but not limited to, merchantability, fitness for a particular purpose, title, and non-infringement.
To the maximum extent permitted by applicable law, in no event shall either the Site, Ms. Steinberg, or the Firm, or any of its affiliated agents, employees, vendors, contractors, licensees, or sublicensees, be liable for any damages whatsoever including, but not limited to, direct, indirect, punitive, incidental, special, or consequential damages, whether for loss of use, data, profits, or any other right, privilege, or interest, arising out of or in any way connected with the use or performance of the Site, with the delay or inability to use the Site or any related Content, the provision of or failure to provide any Content, or for any Content obtained through the Site, or otherwise arising out of use of the Site, whether based on contract, tort, negligence, strict liability, or otherwise, even if the Site, Ms. Steinberg, the Firm, or any affiliated agents, employees, vendors, contractors, licensees, or sublicensees have been advised of the possibility of damages. If you are dissatisfied with any portion of the Site, or with any of these Terms, your sole and exclusive remedy is to discontinue use of the Site and the Content contained therein.
The Site, Ms. Steinberg, and the Firm reserve the right, in the sole discretion of Ms. Steinberg or any agent or committee of Ms. Steinberg, the Site, or the Firm appointed for such purpose, to terminate your access to the Site and the Content contained therein, in whole or in part, at any time, without notice. To the maximum extent permitted by applicable law, the agreement (the "Agreement") between you and the Site, Ms. Steinberg, and the Firm is governed by the laws of the State of New York, and you hereby consent to the exclusive jurisdiction and venue of the courts of the State of New York in any and all disputes arising out of or relating to use of this Site and/or Content. Use of the Site and/or Content is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and the Site, Ms. Steinberg, or the Firm as a result of this Agreement or use of the Site, Service, and/or Content. The performance of this Agreement by the Site, Ms. Steinberg, and the Firm is subject to existing applicable laws and legal processes, and nothing contained herein is in derogation of any right or obligation of the Site, Ms. Steinberg, and the Firm to comply with governmental, court, and/or law enforcement requests or requirements relating to your use of the Site, Service, and/or Content or information provided to or gathered by the Site, Ms. Steinberg, and/or the Firm with respect to such use. If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law by a court or agency of competent jurisdiction including, but not limited to, the warranty disclaimers and liability limitation set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Agreement shall continue with full force and effect.
Unless otherwise specified herein, these Terms constitute the entire Agreement between the user and the Site, Ms. Steinberg, and the Firm with respect to the Site, Service, and Content, and it supersedes any and all prior or contemporaneous communications and/or proposals, whether electronic, oral, or written, between the user and the Site, Ms. Steinberg, and/or the Firm with respect to the Site, Service, and/or Content. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial and/or administrative proceedings based upon or relating to this Agreement to the same extent, and subject to the same conditions, as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties to this Agreement that these Terms and all documents related thereto be written and maintained in English.
Changes to Terms:
The Site, Ms. Steinberg, and the Firm reserve the right, in the sole discretion of Ms. Steinberg or any agent or committee of Ms. Steinberg, the Site, or the Firm appointed for such purpose, to change the Terms under which the Site, Service, and/or Content are offered for use. The most current version of the Terms will supersede all previous versions. The Site, Ms. Steinberg, and the Firm encourage you to periodically review the Terms to stay informed with respect to updates thereto.
